LP Voting and Investor Consent for AIFs

SEBI's new consent rules could flip the same AIF vote from 30% to 90%

SEBI's June 2026 consultation paper proposes three consent methodologies for AIFs: deemed consent, present and voting, and express voting. The same responses — 30% in favour, 10% against, 60% silent — yield 90%, 75%, or 30% approval depending on the method. Taghash outlines a workflow covering LP selection, locked voting rules, verified responses, reminders, weighted calculations, and audit-ready records.

The same investor responses can therefore produce very different outcomes depending on the methodology.
